Indian Startup Fundraising Meet (ISFM)

1. Acceptance of Terms

These Terms & Conditions (“Terms”) govern access to and participation in the Indian Startup Fundraising Meet (“ISFM” or “Programme”), operated and managed by Aspire Seed Solutions Private Limited. By accessing the ISFM website, submitting an application or nomination, making any payment, or participating in any ISFM activity, the Applicant confirms that they have read, understood and agreed to these Terms.

2. Nature of the Programme

ISFM is a startup evaluation, screening, investor-connect and fundraising facilitation platform. ISFM may facilitate interactions between startups and investors, venture capital firms, angel investors, family offices, incubators, accelerators, mentors, institutions and other ecosystem participants.

ISFM does not itself guarantee funding, investment, incubation, acceleration, commercial partnership, investor interest or any particular business outcome.

3. Application and Eligibility

Submission of an application or payment of any fee does not guarantee selection or progression to any stage of the Programme.

ISFM reserves the right to evaluate, shortlist, reject, defer or discontinue any application based on its internal evaluation process, eligibility criteria, information submitted, Programme requirements or other reasonable considerations.

Applicants shall provide true, complete and accurate information. Any false, misleading, fabricated or materially incomplete information may result in immediate rejection or cancellation of participation.

4. Evaluation and Selection

Applications may be reviewed by ISFM representatives, jury members, subject-matter experts, investors, mentors or authorised ecosystem partners.

The evaluation and selection process may consider factors including business model, innovation, scalability, traction, market opportunity, team capability, financial position, investment readiness and other relevant parameters.

All selection and progression decisions shall remain subject to the applicable Programme framework.

5. Investor Connect and Fundraising

ISFM may facilitate introductions, meetings, pitch sessions and communication between Applicants and potential investors or ecosystem partners.

Any investment, funding or commercial transaction shall be independently evaluated, negotiated and entered into between the relevant parties.

ISFM shall not be considered a party to any investment agreement unless expressly stated in a separate written agreement.

Applicants and investors are responsible for conducting their own legal, financial, commercial and technical due diligence before entering into any transaction.

6. Fees and Payments

Fees charged by ISFM may relate to nomination, application processing, evaluation, screening, participation, administration, investor-connect or other Programme services.

All fees shall be governed by the applicable pricing, payment terms and Refund & Cancellation Policy communicated at the time of registration or payment.

Payment of any fee shall not be interpreted as a guarantee of selection, funding or investor engagement.

7. Refund and Cancellation

Refunds and cancellations shall be governed by the separate Refund & Cancellation Policy published by ISFM.

Unless otherwise required by applicable law, fees paid towards processed applications, evaluation or Programme participation shall ordinarily be non-refundable and non-transferable.

8. Applicant Information and Documents

Applicants authorise ISFM to use and process information and documents submitted for Programme administration, evaluation, profiling, investor matching and fundraising facilitation in accordance with the ISFM Privacy Policy.

Relevant startup information may be shared with authorised investors, jury members, incubators, accelerators, mentors and other ecosystem participants where reasonably necessary for the Programme.

Applicants should not submit highly sensitive trade secrets, passwords, source codes, confidential access credentials or other information unnecessary for evaluation unless specifically requested under an appropriate written arrangement.

9. Intellectual Property

All trademarks, logos, website content, designs, Programme material, documentation and other intellectual property owned by ISFM or Aspire Seed Solutions Private Limited shall remain the property of their respective owners.

No person may reproduce, distribute, commercially exploit, modify or use ISFM intellectual property without prior written permission.

Applicants shall retain ownership of their own intellectual property and startup materials, subject to the limited rights granted to ISFM for evaluation, presentation and Programme administration.

10. Marketing and Publicity

Where separately consented to or otherwise permitted by applicable law, ISFM may use the startup name, logo, founder name, photographs, videos, public pitch information or participation status for Programme promotion, event communication, media coverage or ecosystem outreach.

Confidential financial or proprietary information shall not be intentionally published for promotional purposes without appropriate authorisation.

11. Conduct of Participants

Participants shall maintain professional conduct in all interactions associated with ISFM.

ISFM may suspend or terminate participation in cases involving harassment, abusive behaviour, fraud, impersonation, misrepresentation, unlawful activity, confidentiality violations, misuse of Programme access or conduct that materially disrupts the Programme.

12. Third-Party Decisions

Investors, incubators, accelerators, mentors and other ecosystem participants operate independently and may apply their own eligibility criteria, due diligence requirements and investment processes.

ISFM shall not be responsible for the acceptance, rejection, delay, withdrawal, investment decision or commercial decision of any independent third party.

13. No Investment or Financial Advice

Information, introductions, discussions, presentations or communications made available through ISFM are intended for facilitation and informational purposes.

Nothing provided through ISFM shall constitute investment advice, legal advice, tax advice, financial advice or a recommendation to enter into any investment or commercial transaction.

Participants should obtain independent professional advice before making material business or investment decisions.

14. Limitation of Liability

To the maximum extent permitted by applicable law, ISFM and Aspire Seed Solutions Private Limited shall not be liable for indirect, incidental, consequential, special or speculative losses arising from participation in the Programme, investor decisions, unsuccessful fundraising, business decisions, third-party conduct or reliance on information supplied by another participant.

Nothing in these Terms shall exclude liability that cannot lawfully be excluded under applicable law.

15. Programme Changes

ISFM reserves the right to modify Programme structure, timelines, stages, eligibility requirements, evaluation procedures, event formats, investor interactions or operational arrangements where reasonably necessary.

Material changes affecting a participant’s rights or payment obligations shall be communicated through appropriate channels where required.

16. Privacy

Personal Data collected through ISFM shall be processed in accordance with the ISFM Privacy Policy and applicable Indian law.

17. Termination

ISFM may suspend, reject or terminate participation where an Applicant violates these Terms, applicable law or Programme requirements.

Termination shall not affect any rights or obligations that arose before such termination.

18. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Subject to the jurisdiction of any competent statutory authority or tribunal, disputes arising from these Terms or participation in ISFM shall be subject to the jurisdiction of the competent courts at Ajmer, Rajasthan, India.

19. Amendments

ISFM may amend these Terms from time to time to reflect changes in law, Programme structure or operational requirements. Updated Terms shall become effective from the date published on the official ISFM website.
